Mutual Non-Disclosure Agreement

1. Parties

This Mutual Non-Disclosure Agreement (“Agreement”) is entered into between:

Collectively referred to as the “Parties”.

2. Purpose

The Parties intend to discuss and evaluate infrastructure consulting, cloud, virtualization, storage, networking and related technical engagements.

3. Confidential Information

Confidential Information includes but is not limited to:

• Infrastructure architecture
• Server details
• Credentials
• Security configurations
• Source code
• Internal documentation
• Network diagrams
• Technical processes
• Client information
• Financial and business data

4. Obligations

Each Party agrees to:

• Maintain confidentiality
• Use confidential information only for intended business purposes
• Restrict disclosure to authorized personnel
• Apply reasonable security protections
• Prevent unauthorized access or disclosure

5. Exclusions

Confidential Information does not include information which:

• Is publicly available
• Was lawfully known before disclosure
• Is independently developed
• Is legally required to be disclosed

6. Term

This Agreement shall remain effective during the engagement and for three (3) years after termination unless otherwise agreed.

7. Return or Destruction

Upon request, confidential information shall be returned or securely destroyed where reasonably practicable.

8. Ownership

All confidential information remains the property of the disclosing party.

9. Governing Law

This Agreement shall be governed by the laws of India.
