1. Introduction
These Terms and Conditions ("Agreement") govern the provision of services and sale of products by OpenInfra Systems ("Company", "We", "Us", "Our") to the client ("Client", "You", "Your").
By engaging our services or purchasing products, you agree to be legally bound by this Agreement.
Section A — Technical Consulting Services
Covers clauses 2 through 9.
2. Scope of Services
OpenInfra Systems provides consulting and implementation services related to:
- Linux Server Deployment & Hardening
- Proxmox Virtualization Clusters Deployment and Management
- Ceph Storage Clusters (RBD, CephFS, S3)
- MinIO Object Storage
- HAProxy Load Balancer Deployment
- MySQL & PostgreSQL Clusters
- Infrastructure Migration (Public to Private Cloud)
- Security Hardening & Optimization
- Monitoring & Maintenance Support
- Backup Implementation
- Task Automation
Services shall be defined in a written proposal, email confirmation, or Statement of Work (SOW).
3. Client Responsibilities
The Client agrees to:
- Provide accurate infrastructure details
- Provide necessary access credentials
- Ensure legal ownership of infrastructure
- Maintain valid software licenses where required
- Take independent backups unless otherwise agreed
We are not responsible for data loss if backups are not maintained.
4. Fees and Payment
- Fees are defined in quotation or agreement.
- Payment terms: 50% Advance and 50% After work completed.
- Delay in payment may result in suspension of services.
- All fees are exclusive of GST unless mentioned.
5. Confidentiality
We agree to:
- Maintain strict confidentiality of Client data.
- Not disclose infrastructure details to third parties.
- Use data only for service delivery purposes.
The Client agrees not to disclose proprietary methods, documentation, or architecture designs provided by us.
6. Limitation of Liability
OpenInfra Systems shall not be liable for:
- Loss of business revenue
- Indirect or consequential damages
- Data loss due to hardware failure, cyberattack, or network outages
- Service downtime caused by third-party vendors
Maximum liability shall not exceed the amount paid for the specific service.
7. Third-Party Software
We work with open-source software including but not limited to:
- Linux distributions (Debian, Ubuntu, Alma Linux, Rocky Linux)
- Proxmox VE
- Ceph
- MinIO
- HAProxy
- MySQL / PostgreSQL
- Apache / NGINX
- Other open source tools and applications
We do not own any of these software platforms and are not liable for their inherent bugs, updates, or vendor decisions.
8. Warranty Disclaimer (Consulting)
Consulting services are provided on a best-effort professional basis. We do not guarantee:
- 100% uptime
- Performance beyond hardware limits
- Compatibility with undocumented legacy systems
- Performance lags due to open source license limits
9. Support & Maintenance
If ongoing support is purchased:
- Support scope will be defined in SLA.
- Emergency support outside scope may be chargeable.
- Hardware replacement is not included unless specified.
Section B — Refurbished Hardware Sales
Covers clauses 10 through 16.
10. Product Condition
All refurbished hardware:
- May show minor cosmetic wear.
- Is tested for basic functionality before dispatch.
- Is sold as refurbished, not new.
- Product specifications are provided to the best of our knowledge.
11. Warranty Policy
Unless otherwise stated:
- 30 days limited warranty
- Warranty covers hardware failure under normal use.
Warranty does not cover:
- Physical damage
- Liquid damage
- Power surge damage
- Misuse or modification
- Third-party repairs
- License expiry
12. DOA (Dead on Arrival)
- Clients must report DOA within 24 hours of delivery.
- Replacement or repair will be provided after inspection.
13. Returns & Refunds
- No refund after installation or configuration.
- Return shipping charges borne by client unless defective.
- Custom-configured servers are non-refundable.
14. Compatibility Disclaimer
Client is responsible for ensuring:
- Hardware compatibility with their environment.
- Rack space, power, cooling, and networking compatibility.
We are not responsible for incompatibility with third-party equipment.
15. Data Responsibility (Storage Devices)
For refurbished storage devices:
- Client must perform independent data wipe before reuse.
- We ensure basic formatting but do not guarantee certified data destruction unless separately requested.
16. Shipping & Risk Transfer
- Risk transfers to Client upon delivery to courier.
- We are not liable for delays caused by logistics providers.
Section C — General Terms
Covers clauses 17 through 21.
17. Intellectual Property
All documentation, architecture diagrams, scripts, and configurations developed remain intellectual property of OpenInfra Systems unless otherwise agreed in writing.
18. Force Majeure
We shall not be liable for failure due to:
- Natural disasters
- Government restrictions
- Pandemic situations
- Network outages
- War or civil disturbance
- Fire damages
- Electrical surges / spikes
19. Termination
- Either party may terminate services with written notice.
- Outstanding dues must be settled before termination.
20. Governing Law
This Agreement shall be governed by the laws of India.
Jurisdiction: Courts of Tamilnadu, India.
21. Refund & Cancellation Policy
All refunds and cancellations are governed by the OpenInfra Systems Refund & Cancellation Policy. This includes consulting services, software licenses, training programs, hardware sales, and cloud infrastructure engagements. Customers are encouraged to review this policy prior to engaging our services.

22. Amendments
OpenInfra Systems reserves the right to update these terms without prior notice. Updated terms will be published on the website.
